Non-Disclosure Agreement (NDA)

Effective Date: May 11, 2025

This Non-Disclosure Agreement (“Agreement”) is entered into by and between DamClan and the party agreeing to these terms (“Receiving Party”) to protect confidential and proprietary information disclosed during discussions, project collaboration, and other engagements.

1. Confidential Information

"Confidential Information" includes all written, digital, oral, or visual information that is not publicly known and is disclosed during the course of any project or engagement. This includes but is not limited to:

  • Business strategies and models
  • Technical specifications and source code
  • Designs, prototypes, and wireframes
  • Client and user data
  • Financial information

2. Obligations of the Receiving Party

  • Keep all Confidential Information secure and private.
  • Use the information only for the purpose of the agreed project or business engagement.
  • Do not disclose the information to third parties without prior written consent.

3. Exclusions

The obligations of confidentiality do not apply to information that:

  • Is or becomes publicly available without breach of this Agreement.
  • Is lawfully received from another source not under confidentiality obligation.
  • Is independently developed by the Receiving Party without use of the disclosed information.

4. Term

This Agreement shall remain in effect for a period of 5 years from the date of the last disclosure or until such time as the Confidential Information no longer qualifies as confidential, whichever occurs first.

5. Legal Remedies

Unauthorized disclosure may result in irreparable harm. The Disclosing Party is entitled to seek legal and equitable remedies including injunctions to prevent further unauthorized disclosures.

6. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which DamClan is legally registered, without regard to conflict of law principles.
